1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the job-readiness, job-search, AI career assistance, and related services (the “Service”) provided by Olive Independent Study, Inc. (“Olive,” “we,” “us,” or “our”) and made available through the Jobs platform or any other Olive-branded or organization-branded interface.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you and Olive Independent Study, Inc. If you are using the Service on behalf of an organization (such as a university or employer), you represent that you are authorized to accept these Terms on its behalf and that the organization agrees to be bound by them.
2. Description of the Service
The Service includes a suite of tools to support job-seeking and professional development. While features may evolve over time, the Service currently includes, or may in the future include, features such as:
- AI-powered job matching and recommendations
- Resume parsing, evaluation, and enhancement
- AI-generated resumes and tailored application materials
- AI-powered mock interviews and interview feedback
- Career coaching via text or voice interaction
- Professional profile building tools
- Skill assessment and job-readiness scoring
- Search and filtering of job listings
- Document generation, analysis, or transformation features
- User dashboards and progress tracking
- Organization-managed user access, configuration, or reporting
We may add, modify, or remove features at any time. We are not obligated to maintain any specific functionality, integration, or compatibility with third-party services.
The Service is not an employer, recruiter, or employment agency. We do not guarantee that you will obtain a job, internship, interview, or any particular career outcome by using the Service.
3. Eligibility
The Service is intended for adults, job-seekers, and university-level students who are at least 18 years old. By accessing or using the Service, you represent and warrant that:
- You are at least 18 years old.
- You have the legal authority to enter into a binding agreement with Olive Independent Study, Inc.
- You are not prohibited from using the Service under any applicable law or regulation.
- Olive has not previously suspended or terminated your account for violation of our Terms or policies.
Use of the Service by anyone under the age of 18 is strictly prohibited. If we become aware that an account was created or used by a minor under 18, we may terminate the account and delete associated information in accordance with our Privacy Policy.
4. Account Registration and Security
To use certain features of the Service, you must create an account. By registering, you agree to:
- Provide accurate and complete account information
- Maintain and promptly update your information
- Keep your login credentials secure
- Notify us immediately of unauthorized account access or suspected compromise
- Accept responsibility for all actions taken under your account
You may not create an account for another person without their consent, misrepresent your identity, or operate more than one personal account. We reserve the right to refuse, suspend, or terminate any account at our discretion, consistent with these Terms and applicable law.
5. User Content and License Grant
You retain ownership of all documents, text, resumes, voice recordings, messages, and other content (“User Content”) that you submit to the Service.
You grant Olive a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, process, analyze, modify, reproduce, generate derivative works from, and display your User Content for the purposes of:
- Operating and improving the Service
- Providing AI-powered features and coaching
- Generating job matches, resumes, and insights
- Supporting internal analytics, research, and development
- Protecting the security and integrity of the Service
You represent and warrant that you have all rights necessary to submit your User Content and grant this license, and that your User Content does not violate any third-party rights or applicable law. You are solely responsible for your User Content, including its accuracy, legality, and appropriateness.
This license ends when your User Content is deleted from our systems, except where retention is required for legal, security, or operational purposes or where it has been incorporated into de-identified or aggregated data that does not identify you.
6. AI-Powered Features and Limitations
The Service uses artificial intelligence technologies provided by Olive and third-party vendors (such as infrastructure or model providers). By using AI-powered features, you acknowledge and agree that:
- AI outputs may be incorrect, incomplete, unpredictable, or inappropriate.
- AI-generated recommendations or feedback do not constitute professional career, legal, financial, or employment advice.
- You are responsible for verifying AI-generated content before using it in job applications or professional settings.
- AI features may rely on or analyze User Content, job listings, metadata, and usage activity.
- We may update, modify, or restrict AI features without prior notice.
Third-party AI providers act as service providers to us and are permitted to use your information only to provide services to Olive, subject to contractual confidentiality and security obligations, as described in our Privacy Policy.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not attempt to:
- Access the Service using automated scripts, bots, or scrapers
- Circumvent or interfere with security features, authentication systems, or access controls
- Reverse engineer, decompile, or extract source code
- Upload malicious code, malware, viruses, or materials that disrupt or damage the Service
- Misrepresent your identity, qualifications, or employment history
- Use the Service to generate or distribute fraudulent job applications or misleading materials
- Harass, threaten, or harm other users, organizations, or staff
- Collect information about other users without their consent or in violation of law
- Use the Service for any unlawful, deceptive, or harmful purpose
We may investigate and take action (including account suspension, termination, and reporting to law enforcement) in response to suspected violations of this section.
8. Third-Party Job Listings and External Websites
The Service may aggregate job listings from third-party sources, including job boards, employer websites, and APIs. Olive does not control and is not responsible for:
- The accuracy, completeness, or availability of job listings
- Employer actions, hiring decisions, or job posting validity
- External website content, terms, or privacy practices
- The security of external application portals
Your interactions with third-party employers and platforms are solely between you and those parties. Olive is not liable for any damages or losses resulting from reliance on job listings, employer conduct, or external resources.
9. Organizational Accounts and Administrative Access
If you join the Service through a university, employer, or other organization (an “Organization”), the Organization may:
- Manage or provision your account access
- View aggregated, anonymized reporting on member activity
- Request removal or deactivation of user accounts
- Provide branding or optional configuration for its users
Unless explicitly stated for a particular feature or program, Organizations do not have access to your private conversations, resumes, or interview data, except as expressly authorized by you or made available through dedicated organizational tools or settings, as described in our Privacy Policy.
Olive is not the custodian of official academic records and is not directly subject to the Family Educational Rights and Privacy Act (“FERPA”). Any educational information that you provide (such as GPA on a resume) is processed as User Content under these Terms and our Privacy Policy. Educational institutions remain responsible for their own compliance with FERPA and other applicable laws.
10. Intellectual Property Rights
The Service, including its software, design, features, AI models, algorithms, templates, and all related intellectual property, is owned by Olive Independent Study, Inc. and is protected by copyright, trademark, and other intellectual property laws.
Except for the limited license granted by these Terms, nothing grants you any right, title, or interest in the Service or its intellectual property. You may not:
- Modify, copy, distribute, or create derivative works
- Use Olive trademarks or branding without written permission
- Commercially exploit the Service or its outputs
- Remove copyright, trademark, or proprietary notices
Generated documents (e.g., resumes) belong to you, but the templates, underlying AI logic, and generation systems remain our property.
11. Service Changes, Updates, and Availability
We may modify, update, discontinue, or restrict the Service (or any part of it) at any time, without liability to you. This may include:
- Adding or removing features
- Changing system requirements
- Improving or adjusting AI feature behavior
- Performing maintenance or security updates
- Limiting access to certain users or regions
The Service may experience interruptions, downtime, delays, or data loss. While we strive for reliability, we do not guarantee continuous, secure, or error-free operation.
12. Feedback and Suggestions
If you choose to submit feedback, ideas, or suggestions (“Feedback”), you grant Olive a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback without obligation to you. You acknowledge that we may already be working on similar concepts internally.
13. Termination and Account Closure
You may terminate your account at any time by contacting us or using any available account deletion tools. Upon termination:
- Your access to the Service will be revoked
- Your User Content will be deleted or anonymized
- Some information may persist temporarily in backups or logs for security, legal, or operational requirements
We may suspend or terminate your account, with or without notice, if:
- You violate these Terms
- Your activity poses risk to the Service or our users
- We discontinue the Service
- You engage in fraud, abuse, or illegal behavior
Termination does not relieve you of obligations incurred prior to termination. Certain provisions survive termination, including intellectual property, disclaimers, indemnification, and dispute resolution.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF RESULTS
- CONTINUOUS OR UNINTERRUPTED OPERATION
- SECURITY OR ERROR-FREE FUNCTIONALITY
We do not guarantee that AI-generated outputs (including resumes, interview feedback, job matches, and insights) will be correct, complete, or suitable for any purpose. You assume full responsibility for reviewing and validating all outputs before use. Some jurisdictions do not allow certain warranty exclusions; in such cases, some of the above exclusions may not apply to you.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OLIVE INDEPENDENT STUDY, INC., ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, OPPORTUNITY, OR BUSINESS
- LOSS OF DATA OR CONTENT
- UNAUTHORIZED ACCESS OR USE OF YOUR ACCOUNT
- JOB APPLICATION OUTCOMES OR EMPLOYMENT RESULTS
- DECISIONS MADE BASED ON AI-GENERATED CONTENT
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- $100 USD
- THE TOTAL AMOUNT YOU PAID US IN THE PREVIOUS 12 MONTHS (IF ANY)
Some jurisdictions do not allow certain limitations of liability; where prohibited, those limitations will not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Olive Independent Study, Inc. from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorney’s fees) arising out of:
- Your use of the Service
- Your violation of these Terms
- Your infringement of third-party rights
- Your misuse of AI-generated content
- Your interactions with employers or job platforms
17. Governing Law
These Terms are governed by the laws of the State of Georgia and applicable U.S. federal law, without regard to conflict-of-law rules.
18. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE WILL BE RESOLVED THROUGH BINDING, INDIVIDUAL ARBITRATION, AND NOT IN COURT, EXCEPT AS OTHERWISE PROVIDED BELOW.
A. Agreement to Arbitrate
You and Olive agree that all disputes (except as identified below) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
B. Exceptions to Arbitration
The following disputes may be brought in court instead of arbitration:
- Intellectual property disputes
- Violations of Olive’s Acceptable Use Policy or interference with the Service
- Claims qualifying for small claims court in your local jurisdiction
C. Class Action Waiver
YOU AND OLIVE AGREE THAT ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR COLLECTIVE PROCEEDING.
D. Opt-Out Option
You may opt out of this arbitration agreement within 30 days of accepting these Terms by mailing written notice to:

Your notice must include your full name, address, and account email. If you opt out of arbitration, this Section 18 will not apply to you, but the remainder of these Terms will continue to apply.
E. Governing Law
The Federal Arbitration Act governs this arbitration provision.
19. General Terms
A. Entire Agreement
These Terms, along with the Privacy Policy, constitute the entire agreement between you and Olive regarding the Service and supersede all prior agreements or representations.
B. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
C. Waiver
Olive’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
D. Assignment
You may not transfer or assign your rights or obligations under these Terms without our prior written consent. Olive may assign its rights or obligations under these Terms without restriction.
E. Survival
Provisions that by their nature should survive termination—including intellectual property, disclaimers, indemnification, and dispute resolution—will remain in effect.
20. Changes to These Terms
We may update or modify these Terms at any time. When changes are made, the “Last updated” date at the top of this page will be revised. For material changes, we may provide additional notice (such as via email or in-app banners).
Your continued use of the Service following updates constitutes acceptance of the modified Terms.
